Kimberly is the firm’s Chief Legal Counsel. In her role, she supports the firm’s lawyers and clerks to advise clients on all aspects of the investment management industry. Her experience includes advising domestic and international issuers on the formation of investment vehicles, including non-redeemable investment funds, retail mutual funds, flow-through limited partnerships and pooled funds. She has regularly advised clients on the operations of both public and private investment funds in Canada and on a broad range of regulatory and compliance issues involving registered dealers, advisers and investment fund managers.
She has advised on continuous disclosure obligations, shareholder communications, fund governance matters, preparations for annual and special meetings, and general securities law matters. Her experience extends to fund management company acquisitions and divestitures and advising international clients on offering investment funds into Canada. Kimberly’s securities expertise includes representing issuers and dealers in various transactions, such as public offerings and private placements, plans of arrangements, takeover bids and cross-border debt exchanges.
